1. Acceptance of Terms

By accessing or using the website at www.claydesk.ai (the "Site") or engaging ClayDesk for services, you agree to be bound by these Terms of Service ("Terms"). If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree, you must not use the Site or engage our services.

2. About ClayDesk

ClayDesk Infotech Solutions FZCO ("ClayDesk", "we", "us", "our") is incorporated under the Dubai Integrated Economic Zones Authority (DIEZA) with Trade License No. 87569. Registered address: IFZA Properties, DSO-IFZA, Dubai Silicon Oasis, Dubai, United Arab Emirates.

ClayDesk specialises in e-invoicing compliance, digital finance transformation, and Sovereign Finance Intelligence (SFI) advisory services across the GCC region.

The scope of each engagement is governed by a separate written Statement of Work or Master Services Agreement ("MSA"). These Terms apply to website use and, where no MSA exists, to initial enquiry and pre-engagement interactions.

You may access and use the Site for lawful business purposes related to evaluating or engaging ClayDesk's services. You may download, print, or share editorial content for non-commercial professional use with proper attribution to ClayDesk.

All content on the Site — including the ClayDesk name and logo, the Sovereign Finance Intelligence concept and methodology, the Sovereignty Index, editorial series (Sovereign Signals, Mandate Monitor, Field Notes), tool frameworks, and all text, graphics, and code — is owned by ClayDesk Infotech Solutions FZCO and protected under UAE and international intellectual property law.

Nothing in these Terms grants you any licence to ClayDesk's intellectual property beyond the limited right to view and use the Site as described in Section 4.1. The "Sovereign Finance Intelligence" name and SFI methodology are proprietary frameworks of ClayDesk.

Trademarks and logos of third-party integration partners (SAP, Oracle, Microsoft, Zoho, Tally, Odoo) are the property of their respective owners and are used for identification purposes only.

6. Editorial Content

All editorial content is published by ClayDesk Editorial, the institutional voice of ClayDesk Infotech Solutions FZCO. Content is provided for informational purposes only and does not constitute legal, financial, tax, or regulatory advice.

The regulatory landscape for e-invoicing and digital finance changes frequently. You should independently verify all regulatory requirements and engage qualified legal or tax counsel before making compliance decisions.

Important: The Mandate Tracker and Sovereignty Index are informational resources only. Deadlines, technical requirements, and penalty structures may change without notice. ClayDesk accepts no liability for compliance decisions made solely on the basis of information on this Site.

7. Interactive Tools

The Sovereignty Assessment and Mandate Tracker are provided on an "as-is" basis for self-diagnostic and planning purposes only. Results are indicative and not a substitute for professional assessment. Data entered into these tools is not retained on our servers beyond your browser session unless you explicitly request an emailed report.

Fees for professional services are set out in individual Statements of Work or proposals. Unless otherwise agreed in writing:

Each party agrees to keep confidential any non-public information received from the other party in connection with a service engagement, including business processes, technical implementations, pricing, and client data. Confidentiality obligations survive termination of any engagement for three (3) years.

11. Limitation of Liability

To the fullest extent permitted by UAE law:

Nothing in these Terms excludes liability that cannot be excluded under applicable UAE law, including liability for fraud or wilful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless ClayDesk Infotech Solutions FZCO, its officers, employees, and contractors from and against any claims, damages, and costs (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.

13. Termination

ClayDesk may, at its sole discretion, suspend or terminate your access to the Site immediately if you breach these Terms or if required by law. For professional service engagements, termination rights are governed by the applicable MSA or Statement of Work.

14. Governing Law and Dispute Resolution

These Terms are governed exclusively by the laws of the United Arab Emirates, as applied in the Emirate of Dubai.

Any dispute arising from these Terms shall be referred first to good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the Dubai Courts, unless both parties agree in writing to arbitration before the Dubai International Arbitration Centre (DIAC) under its then-current rules.

15. Changes to Terms

We may update these Terms at any time. Material changes will be indicated by a revised "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
